Terms and conditions

Terms and conditions to avail our speical offer of free legal entity transfer:

  • This offer is only valid if you contract with NCEC, a business name of Ricardo-AEA Limited, as your Only Representative (OR) for 3 years starting 1 January 2021; and for those who have not previously purchased the legal entity transfer service they are requesting from NCEC.
  • The last date to apply for this offer is 24 December 2020. The contract for any applications must be signed off and all necessary information required to complete the transfer must be supplied to NCEC by 24 December 2020. Applications submitted after 24 December; contracts not finalised; or information not provided by 24 December will not be considered. 
  • This offer only waives the consultancy fees associated with legal entity transfers per legal entity, all other costs will apply. These additional costs will include an annual OR subscription to NCEC as well as other third party costs (e.g. applicable ECHA fees and potential letter of access costs).
  • NCEC will not be held accountable if, due to circumstances outside of NCEC’s control, the transfer is not arranged prior to the end of the transition period (i.e., at 00.00 hours CET on 1 January 2021; 11 p.m. UK time on 31 December 2020). Such circumstances include downtime of ECHA IT systems, incorrectly set up registrations or legal entity details or other missing information, which prevents the transfer from being set up correctly, or failure to pay the necessary invoices on time.
  • Only one application form per organisation will be considered. An application form is a request from an organisation asking NCEC to complete their legal entity transfers. It does not refer to the number of legal entity transfers required. 
  • The application must be made by a current authorised employee of the organisation.
  • Applications which do not comply with these terms and conditions will be invalid.
  • Qualification for this service is at NCEC's discretion. 
  • The organisations who qualify for the special offer will be notified within five working days after the request either by email or telephone using the contact information provided in the registration form.
  • If the organisation does not claim their offer following notification within five working days, the service shall be unclaimed or unaccepted and a substitute application may be considered at NCEC’s absolute discretion. 
  • NCEC accepts no responsibility for incorrectly completed, lost or delayed application or any other notices in relation to the application(s).
  • There is no cash equivalent prize.
  • If there is or NCEC reasonably suspects there is any fraud, abuse or error affecting the operation of this service, NCEC reserves the right to terminate or suspend the service.
  • If you have indicated that we may do so, registrant's personal data will be collected, stored and processed for the purposes of administering and assessing this service, and adding to NCEC’s mailing list.   • NCEC’s decision is final pertaining to any dispute regarding this service.
  • NCEC reserves the right to suspend, cancel, amend or revise the promotion and its terms and conditions at any time without prior notice.  Registrants can withdraw their entry at any time by contacting NCEC at the address below.  If the service and/or its terms and conditions are amended, by continuing to take part in the registration process for the services, registrants shall be deemed to have agreed to any such new or amended terms.
  • Qualifiers will be required to sign an agreement for the provision of the service, which will be subject to NCEC standard terms and conditions.  Acceptance of these terms is a condition of the provision of the services, and no negotiation will be entered into.
  • If any clause of these terms and conditions is held invalid by law, rule, order or regulation of any government, or by a court of a competent jurisdiction, such invalidity shall not affect the validity or enforceability of any other provisions not held to be invalid.
  • In the event that this legal entity transfer is not required, as a result of details pertaining to a trade agreement being reached between UK and EU prior to the end of the transition period (i.e., at 00.00 hours CET on 1 January 2021; 11 p.m. UK time on 31 December 2020), the customer will bear all costs incurred to reverse the said legal entity transfer, if necessary.
  • This promotion is governed by English Law and is subject to the exclusive jurisdiction of the English courts.
